UNC Health has submitted a $5 billion proposal to merge with Raleigh-based hospital system WakeMed, surpassing a $2 billion acquisition offer previously made by Charlotte-based Atrium Health. The proposed investment from UNC Health includes $2.5 billion specifically earmarked for WakeMed’s strategic priorities, such as clinical capacity, ambulatory expansion, and technology upgrades. WakeMed’s board has expressed a preference for the Atrium Health partnership, citing a desire to maintain institutional continuity under current leadership, while the Wake County Commission has delayed a decision on the transaction for 90 days following pushback from elected officials.

The competitive bidding process highlights broader consolidation trends in the North Carolina healthcare market, where combined entities could control over 75% of inpatient hospital services in Wake County. UNC Health argues that its status as a state-owned agency offers regulatory advantages, potentially avoiding the federal Hart-Scott-Rodino pre-merger notification requirements that could delay or complicate a deal with a private entity like Atrium. UNC Health also notes that the merger would integrate WakeMed into the development of a $2 billion-plus pediatric facility currently planned in Apex.
